Job Responsibilities
- Knowledge of the Bank Companies Laws, the Company Laws, Corporate law, Rules and Regulations of RJSC, BSEC, DSE, CSE, CDBL;
- Knowledge of Corporate Secretarial Practice;
- Must be up-to-date on changes in relevant laws, rules, and regulations, and advising on implications for the company;
- Experience in the Share Management of any listed company;
- Manage the Secretarial compliances, including Board/Shareholder Meetings, maintaining statutory records and filings under the Companies Act;
- Prepare agenda and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points;
- Ensure Board procedures are both followed and regularly reviewed and provide guidance to the management/directors on their responsibilities under various laws;
- Filling all returns to the Registrar of Joint Stock Companies and Firms as per the Companies Act 1994, Bangladesh Securities and Exchange Commission, Stock Exchanges, and Bangladesh Bank;
- Prepare annual reports, compliance reports, and other different types of reports, policies, and presentations as assigned by the Board of Directors;
- Liaise with external regulators and advisers, such as lawyers and auditors;
- Communicate effectively with internal and external individuals, including government agencies.

Educational Requirements
- Masters/Bachelor’s degree in Business from a reputed UGC-approved university with a satisfactory academic track record;
Experience Requirements
- At least 2 year(s)
Additional Requirements
- A minimum of 2 years of working experience in a relevant field;
- Knowledge of banking regulations and circulars;
- Qualified Chartered Secretary will get preference;
- Must have good interpersonal and communication skills both in Bangla and English;
- Strong command over Microsoft Office Package (advance excel training will be preferable);
- Self-propelled, proficient in customer-centricity, team player, and capable of meeting deadlines.
